Referral Program Terms

These Stitch Referral Program Terms ("Referral Terms") govern your participation in the Stitch referral program (the "Program") and set out the conditions on which you may earn, receive, or forfeit a reward for referring a company to Stitch. By clicking to accept these Referral Terms, generating or sharing a referral link, enrolling, or otherwise taking part in the Program, you agree to these Referral Terms. They are a direct agreement between you and PhynAI, Inc., d/b/a Stitch, a Delaware corporation located at 1522 Western Ave, STE 24101, Seattle, WA 98101 ("Stitch," "we," "us," or "our").
These Referral Terms incorporate by reference the Stitch Website Terms of Service and Privacy Policy, available at hirestitch.com (together, the "Platform Terms"). Capitalized terms not defined here have the meaning given in the Platform Terms. If these Referral Terms conflict with the Platform Terms, these Referral Terms control for purposes of the Program. These Referral Terms are separate from the Stitch Service Agreement, which governs Stitch's paying customers. You do not need to be a paying Stitch customer to take part. The company you refer enters into its own agreement with Stitch if and when it becomes a customer.
1. Eligibility and Enrollment
1.1. Who may participate. You may take part if you are a legal entity or an individual aged 18 or over, capable of forming a binding contract, with a Stitch account, and you are not (a) a Stitch employee, contractor, or household member, (b) on any sanctions or denied-party list, or (c) located in a jurisdiction where the Program is prohibited.
1.2. Enrollment. You enroll by clicking to accept these Referral Terms and generating your referral link. Before any payout, Stitch may require identity and tax verification (for example, a W-9 or W-8).
1.3. Independent contractor. You take part as an independent contractor. Nothing in the Program creates an agency, partnership, joint venture, or employment relationship, and you have no authority to bind Stitch.
2. Acceptable Marketing and Compliance
2.1. Referral link. Stitch gives you a unique referral link or code (your "Link"). When a prospect uses it, they are directed to Stitch.
2.2. Laws and consents. You will comply with all applicable laws and obtain all required consents (for example, under the TCPA, CAN-SPAM, the GDPR, the UK Privacy and Electronic Communications Regulations (PECR), and the EU ePrivacy rules) when contacting prospects.
2.3. Prohibited conduct. In connection with the Program, you may not: send spam, or auto-dialed or pre-recorded calls or texts without consent, or harvest contact details; make misleading or unapproved claims about Stitch; bid on Stitch trademarks or confusingly similar terms in paid search, or use coupon, promo-code, or cashback sites; use malware or adware; contact prospects on sites featuring illegal, deceptive, or offensive content; or offer or provide anything of value to a prospect, in cash or in kind, to sign up.
2.4. Disclose your reward. When you refer a company, you must clearly and conspicuously disclose to that company that you may receive a reward from Stitch for the referral, as required by applicable law (for example, the U.S. Federal Trade Commission's endorsement guidelines).
3. No Promise of Acceptance
Stitch evaluates every prospect and may approve or reject any of them in its sole discretion. You will not refer any company on a prohibited or high-risk list that Stitch provides.
4. Qualifying Referral and Attribution
4.1. Qualifying Referral. A "Qualifying Referral" is a company that (a) first engages with Stitch through your Link; (b) is new to Stitch, meaning it is not already a customer and was not in Stitch's sales pipeline within the 365 days before your introduction; and (c) is not a company you directly or indirectly own or control.
4.2. Attribution. Stitch determines in good faith whether you have successfully referred a customer, and its determination is final. If more than one participant refers the same company, Stitch credits whoever referred it first. Because a company's account status is confidential, Stitch will not disclose detailed account, sales, or billing information about a referred company. Stitch may show limited Program status information, such as whether a referral is in progress, whether a reward has accrued, or whether a reward has been sent.
5. Referral Reward
5.1. What you earn. For each Qualifying Referral, Stitch will pay you 5% of that company's Qualified Placement Fees during the first six months after it becomes a paying Stitch customer, up to a maximum of $5,000 per referred company.
5.2. Qualified Placement Fees. "Qualified Placement Fees" means the placement fees the referred company actually pays Stitch in cash for candidates it hires, excluding platform and subscription fees, taxes, chargebacks, billing reversals, billing errors, and amounts paid with service credits or other credits. If Stitch later issues a service credit (for example, under Stitch's placement guarantee or where a hire fails to start), that service credit does not claw back a reward that has already accrued or been paid. If the service credit is later applied to another placement, only the net cash amount actually paid for that later placement counts as Qualified Placement Fees.
5.3. What the referred company gets. A company that signs up through your Link gets an extended 30-day trial, instead of the standard 14-day trial.
5.4. Accrual and payout. Your reward accrues when Stitch receives payment for Qualified Placement Fees during the referred company's first six months as a paying customer. Accrued rewards become payable after the applicable payment has settled and any required identity, tax, fraud, abuse, or compliance checks are complete. Stitch may pay rewards on a monthly cadence through its reward provider, by default as a virtual prepaid card sent to the email on your Stitch account, within a reasonable time after they become payable.
5.5. Limits. Rewards may not be combined with any other promotional, partner, or incentive offer, redeemed for cash or any method other than those Stitch offers, or transferred or assigned. Stitch may net the value of a reward against any amount you owe Stitch.
5.6. Changes to the scheme. Unless Stitch agrees a different scheme with you in writing, the reward in this Section 5 is the default, and Stitch may change it prospectively as described in Section 13.
6. Taxes
Rewards are gross of taxes. Stitch may require a W-9 or W-8 and may withhold taxes from a payout where required before paying it, and will issue tax forms (for example, a 1099) as applicable. You are solely responsible for any tax arising from your participation, including any value-added tax (VAT), goods-and-services tax, or similar tax; where you are registered for VAT or a similar tax, you are responsible for accounting for it, and rewards are inclusive of any such tax and will not be grossed up. Please consult your own tax advisor.
7. Suspension and Termination
7.1. Records and audit. You will keep reasonable records of your referral activity for one year and provide them to Stitch on request. Stitch may audit Program activity for suspected fraud, abuse, or non-compliance.
7.2. Suspension. At any time and in its sole discretion, Stitch may suspend your participation, decline to accept new referrals, or reject any prospect, without liability to you.
7.3. Termination. Stitch may terminate the Program, or your participation in it, at any time and for any reason or no reason.
7.4. Effect. No reward accrues on referrals made after your suspension, or after your participation or the Program is terminated, except for amounts already accrued but unpaid as of the termination date. All unpaid rewards are forfeited if Stitch reasonably determines that you engaged in fraud, misuse, willful misconduct, or a material breach of these Referral Terms or the Platform Terms.
8. Data
You will not collect, process, or transmit personal data about prospects to Stitch except through Stitch-approved methods and only as permitted by the Privacy Policy and these Referral Terms.
9. Representations
You represent and warrant that you will comply with all applicable laws, including anti-bribery and anti-corruption laws (for example, the U.S. Foreign Corrupt Practices Act), and that you are not owned or controlled by, and do not act on behalf of, any person on a U.S. sanctions or denied-party list.
10. Indemnification
You will defend, indemnify, and hold harmless Stitch and its affiliates, officers, directors, and personnel from and against any third-party claim and all resulting damages, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your marketing of, or representations about, the Program or Stitch; (b) your violation of any law (including the TCPA, CAN-SPAM, privacy, or data-security laws); (c) your use of Stitch trademarks except as permitted; or (d) your breach of these Referral Terms.
11. Disclaimers and Limitation of Liability
11.1. No warranties. The Program and rewards are provided "as is" and "as available," without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.2. No indirect damages. Stitch will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, regardless of theory and even if advised of the possibility.
11.3. Cap. Stitch's total liability arising out of or relating to the Program will not exceed the rewards paid or payable to you in the twelve months before the event giving rise to the claim.
11.4. Mandatory law. Nothing in this Section 11 or these Referral Terms excludes or limits any liability that cannot lawfully be excluded or limited, including under the mandatory consumer-protection law of your country of residence.
12. Dispute Resolution
12.1. Governing law and arbitration. These Referral Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Referral Terms or the Program will be resolved by binding arbitration before a single arbitrator administered by JAMS in King County, Washington, on an individual basis. You and Stitch waive any right to bring or participate in a class, collective, or representative action. Notwithstanding the foregoing, Stitch may bring a claim in the state or federal courts located in King County, Washington for injunctive or other equitable relief, including to protect its intellectual property, and you consent to the jurisdiction of those courts for that purpose. For the avoidance of doubt, this Section 12 governs dispute resolution and governing law for the Program and controls over any differing dispute-resolution or governing-law provision in the Platform Terms.
12.2. Consumers in the UK and EEA. If you take part as a consumer (an individual acting wholly or mainly outside your trade, business, craft, or profession) and you are resident in the United Kingdom or the European Economic Area, this Section 12.2 applies to you and prevails over Section 12.1 to the extent of any conflict: (a) nothing in these Referral Terms deprives you of the protection of the mandatory provisions of the law of your country of residence, and the choice of Washington law does not override those protections; (b) the agreement to arbitrate and the waiver of class, collective, or representative actions do not apply to you to the extent they are prohibited or unenforceable under the law of your country of residence; and (c) you may bring proceedings relating to the Program in the courts of your country of residence and under that country's law. Nothing in this Section limits any mandatory statutory right or remedy you have as a consumer.
13. Changes to the Program or Terms
Stitch may update these Referral Terms at any time by posting a revised version, with changes effective on posting. If you continue to take part after changes are posted, you accept the updated Referral Terms. Referrals that already qualify, or that are properly made and later qualify under the version in force at the time of the introduction, will be honored.
14. Notices
Stitch may give notices through the Program interface, in-product, or by email to the address on your Stitch account. You agree to keep your contact details current.
15. Miscellaneous
These Referral Terms are the entire agreement for the Program and supersede prior understandings about it. A failure to enforce a term is not a waiver. If any provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in force. There are no third-party beneficiaries. Participation is non-exclusive, and Stitch may operate other referral, affiliate, or partner programs. You may not use Stitch's name, logo, or marks in marketing without Stitch's prior written approval, and Stitch may identify you as a Program participant. You consent to receive Program notices electronically.
